Confidentiality and Use of Materials Agreement
By accessing EXTRAITASTYLE database (the “Database”), you understand and agree that you have entered into an agreement (the “Agreement”) with ICE (the “Disclosing Party”) in which you (the “Receiving Party”) have an obligation to keep all information (as defined below) disclosed to you confidential.
Information disclosed to the Receiving Party may include Disclosing Party business affairs, its products or services, confidential intellectual property, trade secrets, third-party data, information, personal information, confidential information and other sensitive or proprietary information, whether orally or in written, electronic form, or media, and whether or not marked, designated, or otherwise identified as “confidential” (collectively, “Confidential Information“).
The Receiving Party shall: (A) protect and safeguard the confidentiality of the Disclosing Party’s Confidential Information or Third party’s Confidential Information with at least the same degree of care as the Receiving Party would protect its own Confidential Information, but in no event with less than a commercially reasonable degree of care; (B) not use the Disclosing Party’s Confidential Information, or Third Party’s Confidential Information or permit it to be accessed or used, for any purpose that is beyond the scope of access to this Database; and (C) not disclose any such Confidential Information to any person or entity that is not preliminary and directly authorized in writing by the Disclosing Party. The Receiving Party shall be responsible for any breach of this Agreement caused by any of its Representatives or Affiliates. At any time during or after the term of this Agreement, at the Disclosing Party’s request, the Receiving Party shall promptly return, and shall require its Representatives and Affiliates to return to the Disclosing Party all copies, whether in written, electronic or other form or media, of the Disclosing Party’s Confidential Information, or destroy all such copies and certify in writing to the Disclosing Party that such Confidential Information has been destroyed. In addition to all other remedies available at law, the Disclosing Party may seek equitable relief (including injunctive relief) against the Receiving Party and its Representatives and Affiliates to prevent the breach or threatened breach of this Agreement and to secure its enforcement.
For the sake of clarity, former virtual boutique member who are no longer working on the ICE platform are not authorized to use this Database. Please consult in advance with ICE (the Disclosing Party) in order to ascertain who has been granted permission to use the Database.
Transmission of Confidential Information to Third Party is prohibited. Any unauthorized transmission of Confidential Information to Third Party is a breach of this Agreement and ICE may remove Your access to the Database at any time.
